November 17, 2010 Is Your Board Falling Short of Excellence? What are the "excellent" versus the "everyday" characteristics of director roles that drive outstanding performance of Boards of Directors, and thus contribute to outstanding performance of companies? Excellent director performance goes beyond adherence to a duty of loyalty and a duty to care, the two pillars of director performance found in corporate and tort law. Excellent director performance, at its core, is framed around a superior commitment and involvement to the company's strategic vision, mission and values, a deep understanding of the company and its specific industry, a strong sense of shared relationship and discipline, and a focus on doing the right thing versus doing things right. Our panelists will share examples from their perspective as board members or part of management as to what actions, procedures and environments help to create an excellent board of directors. This is a session of special interest to directors of both public and private companies. It will be an interactive session between the moderator, the panel and the audience. Richard Swanson (Moderator), is a director and Audit Committee Chair of ADA-ES (Nasdaq: ADES) and Ascent Solar Technologies (Nasdaq: ASTI). He also is a director and Treasurer of the Colorado Chapter of NACD. For 15 years he was a coach and advisor to CEO's of more than 75 Colorado companies through Vistage International, formerly TEC, the world's leading CEO membership organization. Mr. Swanson has a background with Andersen/Accenture, was the CFO of a $250M business, and was the founder and president of a commercial real estate investment and development company. He holds an MBA from the Harvard Business School. Phillip Doty is a director of Whiting Petroleum Corporation and counsel with EKS&H in Denver. He is a retired partner with Arthur Andersen & Co. He has had engagement responsibility for audits of public and private oil and gas companies in all segments of the industry over a 43 year career, and has participated in hundreds of related audit committee meetings. Mr. Doty is a past Board member and President of the Colorado Society of CPA's, a past National Council Member of the AICPA and serves on the boards of a number of large, local non profits. He holds a B.A. from Drake University. Richard Dalton is the Executive Vice President and Chief Operations Officer of CoBiz Financial, Inc. in Denver. He also previously served as Executive Vice President, Chief Financial Officer and President. CoBiz Financial is a NASDAQ listed financial holding company with $2.4 billion in assets, with subsidiaries that include Colorado Business Bank, Arizona Business Bank, and Green Manning & Bunch to mention a few. Mr. Dalton is also a director of a number of the corporation's subsidiaries and non-profit organizations. He holds an MBA from the University of Colorado. Allan Spies has served on private, public and non-profit boards for more than ten years. His board participation has been with diverse companies, across industries and in various stages from start-ups to IPO companies and mature businesses. He is currently on the boards of three private and one public company. Previously, Mr. Spies was the Executive Vice President and Chief Financial officer of U. S. West and held other executive level positions with the company for more than 20 years. He holds a B.A in Physics from California Lutheran University and an M.A in Management Sciences from Pace University. *****
