John Elofson (Moderator), Partner, Davis, Graham & Stubbs, LLP, where his practice focuses on securities offerings and compliance and mergers and acquisitions. John has represented clients in a variety of industries in securities offerings, mergers, stock and asset purchases, joint ventures, tender offers and proxy contests. John also advises clients on reporting obligations under the federal securities laws and stock exchange rules as well as on corporate governance matters and takeover defenses. Peter Miterko is a Managing Director at Pearl Meyer & Partners, specializing in executive compensation and corporate governance matters. Mr. Miterko enjoys expertise in the areas of financial services and telecommunications. Most recently, he has represented several assistance TARP companies with the Office of the Special Master on various executive compensation matters. Mr. Miterko was a practice leader for Hewitt Associates where he served clients such as GMAC (Ally Bank) and Capital One. He has worked with private equity firms including KKR, Cerberus and the Carlyle Group and has served clients as a global practice leader of the Ernst & Young's Actuarial, Benefits, and Compensation consulting practice. Mr. Miterko received his undergraduate degree from Brown University, and holds law degrees from the University of Connecticut and New York University.
